These Terms of Service (“Terms”) form a legally binding agreement between you (“User,” “you,” or “your”) and Room (“Room,” “we,” “us,” or “our”), the operator of the Room expert marketplace platform. These Terms govern your access to and use of the Room platform, including any related websites including our website at www.room.consulting, applications, tools, communications, and services provided through the platform (collectively, the “Platform”).
Room provides a marketplace that enables organizations and professionals to connect with vetted experts in life sciences, healthcare, and related fields for advisory, consulting, and knowledge-sharing engagements.
These Terms describe the conditions under which you may access and use the Platform, including permitted uses and restrictions. By registering for, accessing, or using the Platform, you confirm that you have read, understood, and agree to comply with these Terms, as well as our Privacy Policy and any additional policies or guidelines refer%
are provided independently by the Experts.
For the purposes of these Terms, the following definitions apply:
“Platform” refers to the Room website, applications, and all related tools, features, and services provided by Room.
“User” refers to any individual or organization that accesses or uses the Platform, including Experts and Clients.
“Expert” refers to an individual registered on the Platform who offers professional advisory, consulting, or knowledge-based services to Clients through the Platform.
“Client” refers to an individual, company, or organization that engages Experts through the Platform for consultations, advisory services, or other professional interactions.
“Services” refers to consultations, advisory sessions, expert calls, project-based engagements, or other professional services offered by Experts to Clients through the Platform. These interactions may occur through third-party communication tools integrated with the Platform. Room facilitates the connection but does not itself provide the professional advice delivered during these engagements.
“Content” refers to any information, materials, data, text, images, audio, video, or other content submitted, shared, or displayed by Users on or through the Platform.
“Third-Party Services” refers to external platforms, applications, or providers that may be used in connection with the Platform’s functionality, including tools for communication, scheduling, or payment processing. These services are operated independently of Room and are subject to their own terms and policies.
“Session Data” refers to information associated with a scheduled consultation or engagement, which may include session details such as date, time, duration, meeting link, and participant identifiers required for facilitating the interaction.
“Transcript” refers to a written representation of spoken dialogue generated through automated transcription tools when such features are enabled.
“Retention Period” refers to the length of time that certain session-related materials, such as transcripts or summaries, may remain accessible through the Platform before they are deleted, anonymized, or otherwise processed in accordance with Room’s policies and applicable laws.
Room operates a digital marketplace designed to connect organizations and professionals with experienced experts in life sciences, healthcare, biotechnology, and related fields. The Platform provides the technical infrastructure that enables Users to discover experts, schedule consultations, and manage professional engagements.
Room’s role is limited to facilitating these connections and providing tools that support scheduling, communication, and payment processing. Room does not provide professional, medical, scientific, regulatory, or legal advice and is not responsible for the accuracy, quality, legality, or outcomes of services delivered by Experts through the Platform.
Through the Platform, Experts may:
Create professional profiles describing their experience, expertise, and qualifications.
Set their availability and pricing for consultations or advisory engagements.
Offer professional services such as expert calls, advisory sessions, project-based guidance, or other knowledge-sharing interactions.
Through the Platform, Clients may:
Browse expert profiles and areas of expertise.
Schedule consultations or advisory sessions with Experts.
Engage Experts for one-time consultations or other professional interactions.
Both Experts and Clients have access to a user dashboard that allows them to manage their profiles, review scheduled engagements, track bookings, and access relevant session information.
Consultations or advisory sessions arranged through the Platform may take place through third-party communication services such as video conferencing tools or other external platforms. Room does not host these communications directly and is not responsible for issues arising from the use of third-party services, including technical disruptions, service interruptions, or disputes between Users.
4.1 Age and Legal Authority
By creating an account or using the Platform, you represent and confirm that you are at least eighteen (18) years old and have the legal capacity to enter into these Terms and to comply with all applicable laws and regulations. If you create an account on behalf of a company, institution, or other legal entity, you represent that you are authorized to act on behalf of that organization and to bind it to these Terms.
4.2 Account Registration and Security
Access to certain features of the Platform requires the creation of a user account. When registering, you agree to provide accurate, current, and complete information and to keep that information updated as necessary. Providing false, incomplete, or misleading information may result in suspension or termination of your account.
You are responsible for safeguarding your account credentials and for all activity conducted through your account. You agree to promptly notify Room if you become aware of any unauthorized access, suspected misuse, or other security breach involving your account. Room is not responsible for losses or damages resulting from unauthorized use of your account.
4.3 Expert Qualification and Verification
Individuals who wish to provide services as Experts may be subject to a review or verification process before they are permitted to offer services on the Platform. This process may include verification of identity, review of professional experience, validation of relevant credentials or qualifications, and other checks that Room considers appropriate.
Room reserves the right to modify its verification procedures or request additional documentation at any time. While Room may review certain information provided by Experts, Room does not guarantee the accuracy, completeness, or authenticity of any Expert’s credentials, experience, or representations.
By using the Platform, Users acknowledge that engagements with Experts are undertaken at their own discretion and risk. Room does not assume responsibility for any misrepresentation, professional conduct, or actions of Experts in connection with services provided through the Platform.
5.1 Scheduling and Responsibility
When a consultation session is booked through the Platform, both the Expert and the Client are responsible for coordinating the details of the engagement, including scheduling, preparation, and communication related to the session.
Room’s role is limited to facilitating the booking process and supporting related platform functions such as scheduling records and payment processing. Consultation sessions are typically conducted using third-party communication tools (for example, video conferencing platforms). Room does not host, conduct, or control these sessions directly.
Room is not responsible for technical interruptions, disputes, or other issues that may arise during or in connection with a consultation session. Any disagreements or concerns relating to a session should first be addressed directly between the Expert and the Client.
If the parties are unable to resolve an issue independently, they may contact Room support for assistance. While Room may review the situation and attempt to facilitate a resolution, Room does not guarantee that disputes will be resolved through the Platform.
5.2 Refund Policy
Clients may submit a request for a refund within two (2) days following the scheduled consultation. Refund requests will be reviewed on a case-by-case basis.
If Room determines that a refund is appropriate, for example, if the session did not take place due to the Expert’s failure to attend—the consultation fee may be returned to the Client, and the corresponding amount may be deducted from the Expert’s account or pending payout. Room reserves the right to make the final determination regarding refund eligibility based on the circumstances presented.
Clients may reschedule a booked consultation through their dashboard up to Five (5) hours before the scheduled session time.
Experts may also request to reschedule a session by contacting the Client and proposing an alternative time at least Five (5) hours prior to the scheduled start of the consultation.
Requests to change or reschedule a session within Five (5) hours of the scheduled time are generally not permitted, except in exceptional or unforeseen circumstances. Any such late changes must be mutually agreed upon by both the Expert and the Client.
6.1 Fees and Payment Processing
All payments for services arranged through the Platform must be completed using Room’s integrated payment system. Room works with established third-party payment processors to facilitate secure and reliable transactions.
By using the Platform, Users agree to the following payment terms:
Consultation Fees: Experts determine the fees for their consultation sessions, which are displayed on their profile pages.
Service Pricing: Experts are solely responsible for setting the prices for their services. Room does not determine or control the pricing established by Experts.
Currency: Unless otherwise specified, all prices on the Platform are listed and charged in United States dollars (USD).
Payment Timing: Payment is required at the time a consultation is booked or when another service engagement is confirmed through the Platform.
Room facilitates payment processing but does not act as a financial institution. The total amount shown to the Client at the time of booking represents the amount charged for the service.
Room charges a platform service fee of ten percent (10%) on transactions completed through the Platform. This fee is applied to consultation bookings and other paid engagements facilitated by Room.
Payments are processed through a third-party payment provider, such as Stripe, and may be subject to that provider’s standard processing fees and policies. The Expert receives the remaining balance after the platform service fee and any applicable payment processing charges.
Room reserves the right to modify its platform fee or payment structure in the future. If such changes occur, Users will be notified through the Platform or other appropriate communication channels.
6.2 Expert Payouts
Experts must connect a valid payment account through the Platform’s supported payment processor. Experts may link an existing account or create a new account with the payment provider.
Experts are responsible for maintaining accurate payout information and managing their payout settings through their connected payment account. Transaction records and payout summaries may be accessible through the Expert’s dashboard.
Payouts are issued according to the policies and schedule of the connected payment processor. Room does not control the timing of these payouts and is not responsible for delays that may occur due to payment processor verification, compliance checks, or other external factors.
7.1 Advisor Plans and Ongoing Engagements
The Platform may allow Experts to offer ongoing advisory services or subscription-based engagements (“Advisor Plans”) to Clients. These arrangements enable Clients to access recurring consultations, advisory support, or other professional interactions provided by the Expert.
The Expert and the Client are solely responsible for defining and managing the details of the subscription engagement, including the scope of services, communication, timelines, and expected deliverables.
Room’s role is limited to facilitating the subscription setup, processing payments, and maintaining records of the subscription arrangement on the Platform. Room does not supervise or manage the ongoing execution of services provided through Advisor Plans.
Advisory sessions or communications associated with subscription services may take place through external communication tools, such as video conferencing platforms or other third-party services. Room does not host or directly conduct these sessions.
Room is not responsible for technical disruptions, disagreements, or other issues that may arise during or in connection with subscription-based engagements. Any disputes relating to services provided under an Advisor Plan must be addressed directly between the Expert and the Client. Users may contact Room support for assistance; however, Room cannot guarantee that a resolution will be reached through the Platform.
Clients may cancel an active subscription at any time through their dashboard on the Platform. Experts who wish to terminate an active subscription arrangement may request cancellation through their dashboard or by contacting Room support.
When a subscription is canceled, it will remain active until the end of the current paid billing period. The subscription will not renew after that billing period concludes.
While Room aims to provide a reliable and high-quality platform, we do not guarantee:
The availability of any specific Expert on the Platform.
The accuracy, completeness, or usefulness of advice or information provided by Experts.
The technical performance or reliability of consultation sessions conducted through third-party tools.
Any specific outcome or result from consultations or advisory engagements.
Continuous, uninterrupted, or error-free access to the Platform.
Users acknowledge that payments or other transfers of value made to healthcare professionals may be subject to applicable transparency, disclosure, or reporting requirements under relevant laws and regulations. This may include, for example, the Physician Payments Sunshine Act and similar transparency frameworks in other jurisdictions.
Clients are responsible for determining whether any payment, engagement, or transfer of value conducted through the Platform must be reported under applicable laws. Clients are also responsible for fulfilling any required reporting, disclosure, or compliance obligations associated with such payments.
Experts agree to provide accurate and complete information that may be reasonably necessary for Clients to comply with applicable transparency or reporting requirements.
Room operates solely as a technology platform that facilitates connections and transactions between Users. Room does not assume responsibility for regulatory compliance, disclosure obligations, or reporting duties that may apply to Users under applicable laws.
9.1 General Conduct
All Users of Room must act professionally, ethically, and in compliance with applicable laws. Users are responsible for obtaining any required consent for recordings, transcriptions, or monitoring, including jurisdiction-specific rules.
Users must not:
Access other Users’ accounts or private areas without permission.
Interfere with the Platform’s operation or security.
Introduce malicious software or attempt unauthorized access.
Collect personal information for spam, phishing, or other unauthorized purposes.
All Users are responsible for their own taxes and legal reporting obligations related to services on the Platform.
Maintain valid professional licenses, certifications, and credentials.
Provide accurate information about their qualifications and experience.
Deliver services punctually, prepared, and according to professional standards.
Respect Client confidentiality and privacy.
Stay within their area of expertise and not offer services they are unqualified to provide.
Maintain any required professional liability insurance.
Provide accurate and complete information for bookings.
Attend sessions punctually and be prepared.
Treat Experts with respect and professional courtesy.
Pay for services as agreed and follow Platform payment policies.
Use the Platform and services lawfully and for legitimate purposes.
Respect the intellectual property rights of Experts and the Platform.
This ensures a safe, professional, and reliable environment for all Users on Room.
Purpose
This guide outlines the responsibilities of Experts using Room to engage with Clients in a professional, ethical, and compliant manner. It complements onboarding materials and training, helping you navigate interactions appropriately. This document is for general guidance and does not constitute legal advice. Seek independent counsel if you are uncertain about your obligations.
Role as an Expert
Experts participate as independent professionals, not as representatives of any organization unless explicitly agreed. You confirm that:
Your participation does not violate contractual, legal, or ethical obligations to third parties.
You have obtained any required permission or waivers.
You will decline any engagement that could create conflicts or breaches of duty.
Restrictions on Employer Information
Do not disclose:
Non-public information about your current or past employers.
Internal practices, performance data, or confidential strategies.
Details that could breach employment, consulting, or confidentiality agreements.
If an engagement could place you in violation of your obligations, you must decline it.
Material Non-Public Information (MNPI)
MNPI refers to non-public information about publicly traded companies that could influence investor decisions or company valuation. Examples include:
Mergers, acquisitions, divestitures, or restructurings
Earnings forecasts or financial performance changes
Leadership changes or major client developments
Regulatory actions, litigation, or capital structure decisions
Possessing MNPI is not illegal, but using or sharing it improperly (e.g., for trading, tipping, or disclosing in breach of confidentiality) may carry legal consequences. Treat information as confidential if learned through privileged roles, agreements, or relationships.
Confidential information includes client data, internal strategies, operational metrics, financial results, research, clinical trial information, product pipelines, and intellectual property.
Do not share client identities, discussions, or proprietary materials.
Limit your discussions to publicly available information, general expertise, and professional insights. Decline questions that require disclosure of restricted information.
Client Information
All client-related information must be treated as confidential. Do not use it for personal benefit or for trading purposes. If unsure about whether information is restricted, confirm with the source before sharing.
Conflicts of Interest
Avoid engagements that create professional, ethical, or regulatory conflicts or that compromise your independence or objectivity. If in doubt, decline the engagement.
Do not disclose the existence of engagements, client identities, discussion content, or proprietary materials.
This confidentiality obligations continue after the engagement concludes.
Maintain all required professional licenses, certifications, and insurance.
Conduct services with competence, integrity, and respect for client privacy.
Refrain from offering services outside your professional expertise.
Ensure compliance with all applicable laws, including privacy, reporting, and transparency requirements.
By following these guidelines, Experts help ensure lawful, professional, and responsible interactions while protecting client, organizational, and market-sensitive information.
11.1 Platform Intellectual Property
All content, software, design, features, and functionality of the Room are owned by Room or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws. Users may not copy, modify, distribute, reproduce, or create derivative works from any part of the Platform without prior written permission from Room.
11.2 User Content
By submitting or posting content on the Platform, Users grant Room a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such content as necessary to operate and improve the Platform and make the content available to other Users.
11.3 Expert Materials
Experts retain ownership of their professional materials, knowledge, and content shared during consultations or advisory services. Clients receive a limited, non-exclusive right to use such materials solely for personal or internal business purposes and may not redistribute or commercially exploit them without permission.
11.4 Platform Disclaimer
The Platform and all related services are provided on an “as is” and “as available” basis. Room makes no warranties regarding the reliability, availability, or performance of the Platform and does not guarantee uninterrupted or error-free operation.
11.5 Professional Advice Disclaimer
Room acts solely as a marketplace connecting Clients with independent Experts. Room does not provide professional, medical, legal, financial, or scientific advice. Any opinions, recommendations, or information provided during consultations are those of the Expert and not of Room.
12.1 Limitation of Liability
Room shall not be liable for any losses, damages, or expenses arising from the use of, or inability to use, the Platform or services provided through it. This includes, but is not limited to:
Interruptions, delays, or disruptions in the Platform or services
Viruses or malicious software encountered through use of the Platform
Technical errors, bugs, or inaccuracies in Platform content
Damage to devices or systems resulting from Platform use
Actions or omissions of other Users
Account suspension or other enforcement actions
Reliance on Expert profiles, ratings, feedback, or recommendations
Business decisions made based on information obtained through the Platform
To the maximum extent permitted by law, Room and its affiliates, directors, employees, contractors, agents, and service providers will not be responsible for any indirect, incidental, consequential, special, or punitive damages, including loss of data, revenue, profits, or business opportunities.
In any event, Room’s total liability for claims arising out of or related to the use of the Platform will not exceed the total platform fees collected by Room from the transaction or engagement giving rise to the claim.
These Terms become effective when you access or use the Platform and remain in effect for as long as you continue to use it.
Room or the User may terminate this Agreement at any time. Room may suspend or terminate accounts if a User violates these Terms, applicable laws, or Platform policies. Where appropriate, notice may be provided before termination.
Upon termination:
Access to the Platform and associated accounts may be revoked.
Users remain responsible for completing or resolving any active engagements arranged through the Platform.
Any outstanding payments or obligations remain payable.
Certain provisions of these Terms, including confidentiality, intellectual property, liability limitations, and dispute resolution, will continue to apply after termination.
Room encourages Users to resolve disputes quickly and informally whenever possible.
Informal Resolution
Before initiating formal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiations for at least ninety (90) days after written notice of the dispute.
Binding Arbitration
If a dispute cannot be resolved through informal negotiations, it will be resolved through binding arbitration administered by the American Arbitration Association under its applicable arbitration rules.
Arbitration may be conducted in person, remotely, or through written submissions. By agreeing to arbitration, both parties waive the right to pursue claims in court or to a jury trial, except where required by law.
Unless otherwise required by applicable rules or law, arbitration proceedings will take place in Ventura County.
Disputes must be brought individually. To the fullest extent permitted by law:
Arbitration may not be combined with other proceedings.
Class actions or representative claims are not permitted.
Claims may not be brought on behalf of other individuals or groups.
The following types of disputes may be brought directly before a court of competent jurisdiction:
Claims relating to intellectual property rights
Allegations of theft, fraud, unauthorized use, or privacy violations
Requests for injunctive or equitable relief
These Terms and any disputes related to the Platform or services will be governed by and interpreted under the laws of the State of California, without regard to conflict-of-law principles
13.1 Confidentiality
Room and its Users recognize the importance of protecting confidential and sensitive information shared during engagements. Each party agrees to treat any confidential information received from another party with reasonable care and to use such information only for purposes related to the services provided through the Platform.
Users must not disclose, distribute, or use another party’s confidential information without permission, except where necessary to perform services arranged through the Platform or where required by law.
13.2 Handling and Return of Confidential Information
Upon request, confidential information provided in connection with a specific engagement should be returned or securely destroyed when it is no longer required. Room may retain limited copies in backup systems or records where necessary for legal, operational, or compliance purposes.
13.3 Restrictions on Publication
Users agree not to publish or publicly disclose confidential information, work product, or materials belonging to another party without prior authorization, unless disclosure is necessary for the delivery of agreed services or required by law.
13.4 Entire Agreement
These Terms, together with any referenced policies or agreements on the Platform, constitute the entire agreement between the User and Room regarding use of the Platform and supersede any prior understandings or communications related to the same subject.
13.5 Electronic Communications and Signatures
By using the Platform, Users consent to receive communications electronically and agree that electronic notices, agreements, and records satisfy any legal requirement for written communication. Users also agree to the use of electronic signatures and digital records for transactions conducted through the Platform.
13.6 Assignment
Users may not transfer or assign their rights or obligations under these Terms without prior written consent from Room. Room may assign or transfer its rights and obligations under these Terms provided that such assignment does not materially affect User rights.
13.7 Force Majeure
Room will not be responsible for delays or failure to perform obligations caused by events beyond its reasonable control, including natural disasters, internet or telecommunications failures, labor disputes, government actions, or other unforeseen events.
13.8 Compliance with Laws
Users agree to comply with all applicable local, state, federal, and international laws when using the Platform, including laws related to privacy, intellectual property, and export controls.
13.9 No Waiver
Failure by Room to enforce any provision of these Terms does not constitute a waiver of that provision or any other rights under the agreement.
13.10 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
13.11 Modifications
Room may update or revise these Terms from time to time. Continued use of the Platform after such changes are posted constitutes acceptance of the updated Terms.
13.12 Prohibited Activities
Users may only use the Platform for its intended purpose of connecting Clients with Experts for professional engagements. Users must not use the Platform for unlawful activities or for commercial purposes not authorized by Room.
The Platform and all related services provided by Room are offered on an “as available” and “as is” basis. Your access to and use of the Platform occurs at your own risk. To the fullest extent permitted by applicable law, Room disclaims all warranties, whether express, implied or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Room does not guarantee that the Platform, its content, or any services arranged through it will be accurate, complete, reliable, secure, or uninterrupted. Room makes no representations regarding the quality, qualifications, or outcomes of services provided by Experts or any other Users of the Platform.
To the maximum extent permitted by law, Room will not be responsible for any damages, losses, or liabilities arising from or related to:
Errors, inaccuracies, or omissions in information or materials available on the Platform.
Personal injury, property damage, or other harm resulting from access to or use of the Platform.
Unauthorized access to or use of Room’s servers or any personal or financial information stored on them.
Temporary or permanent interruptions, delays, or failures in transmission to or from the Platform.
Malware, viruses, or other harmful code that may be transmitted through the Platform by third parties.
Losses or damages resulting from reliance on any content, materials, or communications made available through the Platform.
Room does not endorse, guarantee, or assume responsibility for any third-party products, services, or content that may be promoted, referenced, or linked through the Platform, including through advertisements or external websites. Any interactions or transactions between Users and third-party providers are solely between those parties. Room is not responsible for monitoring such transactions.
As with any professional engagement or online service, Users should exercise independent judgment and appropriate caution when evaluating information, entering agreements, or engaging with other Users on the Platform.
Any notices intended to have legal effect must be provided in writing and delivered to Room by one of the following methods:
