Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Room Consulting (“we”, “us”, or “our”), governing your access to and use of the room.consulting website and platform (the “Platform”). Please read these Terms carefully before using the Platform.

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

1. About the Platform

Room Consulting is an online platform that connects clients seeking professional expertise with qualified experts in oncology, life sciences, and related therapeutic areas. The Platform facilitates the discovery, booking, and payment process for expert consultations.

We act as an intermediary between clients and experts. We provide the technology infrastructure and tools that enable experts to list their services, manage their availability, and receive bookings, and that enable clients to find experts, schedule consultations, and make secure payments. We are not a party to the consultation itself and do not provide medical advice, clinical recommendations, or any professional services directly.

2. Eligibility

To use the Platform, you must be at least 18 years of age and have the legal capacity to enter into binding agreements. By using the Platform, you represent and warrant that you meet these requirements. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. User Accounts

3.1 Registration

Certain features of the Platform, such as booking consultations or registering as an expert, require you to provide personal information including your name, email address, and professional details. You agree to provide accurate, current, and complete information and to update it as necessary to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at info@room.consulting if you become aware of any unauthorized use of your account. We are not liable for any loss or damage arising from unauthorized access to your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or used the Platform in a manner that could harm other users or our business. You may also request the deletion of your account by contacting us.

4. Expert Services

4.1 Expert Independence

Experts listed on the Platform are independent professionals and are not employees, agents, or representatives of Room Consulting. We do not supervise, direct, or control the content or delivery of consultations. Each expert is solely responsible for the advice, opinions, and information they provide during consultations.

4.2 Expert Obligations

By registering as an expert on the Platform, you agree to:

  • Provide accurate and truthful information on your profile, including your qualifications, areas of expertise, professional affiliations, and experience.
  • Maintain an up-to-date availability schedule and respond to booking requests in a timely manner.
  • Honor all confirmed bookings and conduct consultations professionally and in accordance with applicable professional standards and ethical guidelines.
  • Set fair and transparent pricing for your consultation packages.
  • Comply with all applicable laws, regulations, and professional licensing requirements relevant to your field of expertise.
  • Not engage in any activity that could bring the Platform into disrepute or harm the interests of clients or other experts.

4.3 Expert Profiles

Expert profiles, including name, photograph, professional title, affiliation, areas of expertise, rating, and consultation offerings, are displayed publicly on the Platform. By creating an expert profile, you consent to the public display of this information.

5. Bookings

5.1 Booking Process

Clients can browse expert profiles, select a consultation package, choose an available date and time, and proceed to book a consultation. A booking is considered confirmed only after successful payment processing (for paid consultations) or upon submission of the booking request (for free consultations).

5.2 Booking Confirmation

Upon successful booking, both the client and the expert will receive a confirmation email containing the consultation details, including the date, time, duration, consultation type, and any relevant instructions. If the expert has connected their Google Calendar, a calendar event will be created automatically for the confirmed consultation.

5.3 Consultation Delivery

The method of consultation delivery (video call, phone call, in-person meeting, or other format) is determined by the expert and communicated to the client. Room Consulting does not provide video conferencing or communication tools. Experts and clients are responsible for arranging the appropriate communication channel for their consultation.

5.4 Minimum Notice Period

Experts may set a minimum notice period for bookings (e.g., 12 hours, 24 hours). Clients will not be able to book time slots that fall within this notice period. The applicable minimum notice period is displayed on the booking form.

6. Payments

6.1 Payment Processing

All payments on the Platform are processed securely through Stripe, Inc., a PCI DSS Level 1 certified payment processor. By making a payment, you also agree to Stripe’s Terms of Service. We accept major credit and debit cards as supported by Stripe.

6.2 Pricing

Consultation prices are set by individual experts and are displayed on their profile pages. All prices are shown in the applicable currency and include any applicable fees. We reserve the right to charge a platform service fee, which will be clearly disclosed before you complete your booking.

6.3 Free Consultations

Some experts may offer free consultations at their discretion. Free consultations do not require payment processing. By booking a free consultation, you agree to the same Terms regarding attendance, cancellation, and conduct as for paid consultations.

6.4 Payment Disputes

If you have a dispute regarding a payment, please contact us at info@room.consulting before initiating a chargeback with your bank or card issuer. We will work with you and the expert to resolve the issue promptly and fairly.

7. Refund and Cancellation Policy

We understand that plans can change. Our refund and cancellation policy is designed to be fair to both clients and experts.

7.1 Cancellation Before the Consultation

You may cancel a confirmed booking and receive a full refund at any time before the scheduled consultation begins. To cancel a booking and request a refund, contact us at info@room.consulting with your booking confirmation details (booking reference number, expert name, scheduled date, and time). We will process the cancellation and initiate the refund promptly.

7.2 Service Considered Delivered After Consultation

Once the scheduled consultation has taken place — meaning the expert has made themselves available at the agreed time and the consultation has been conducted — the service is considered fully delivered. No refunds will be issued for consultations that have already been provided, regardless of your satisfaction with the content or outcome of the consultation.

7.3 Client No-Show

If you fail to attend a scheduled consultation without cancelling in advance, this is considered a “no-show.” In the event of a no-show, no refund will be issued, as the expert reserved their time for your consultation and was available at the scheduled time. We strongly encourage you to cancel as early as possible if you are unable to attend.

7.4 Expert Cancellation

If an expert cancels a confirmed consultation for any reason, you will receive a full automatic refund. We will notify you of the cancellation via email and process the refund immediately. You will also have the option to rebook with the same expert at a different time or choose a different expert.

7.5 Technical Issues

If a consultation cannot take place due to technical issues on the Platform’s side that prevent the booking from being properly communicated or processed, we will work with both parties to reschedule. If rescheduling is not possible, a full refund will be issued to the client.

7.6 Refund Processing

All refunds are processed through Stripe using the original payment method. Refunds typically appear on your bank or card statement within 5–10 business days, depending on your financial institution. We are not responsible for any delays caused by your bank or card issuer in processing the refund.

8. Intellectual Property

8.1 Platform Content

All content on the Platform, including but not limited to the design, layout, text, graphics, logos, icons, images, and software, is the property of Room Consulting or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or publicly display any Platform content without our prior written consent.

8.2 User Content

By submitting content to the Platform (such as expert profile information, consultation descriptions, or messages), you grant Room Consulting a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating and promoting the Platform. You retain ownership of your content and are responsible for ensuring it does not infringe any third-party rights.

8.3 Trademarks

“Room Consulting”, “Room”, and associated logos are trademarks of Room Consulting. You may not use these trademarks without our prior written permission.

9. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Using the Platform for any unlawful, fraudulent, or malicious purpose.
  • Attempting to circumvent the Platform to arrange consultations or payments directly with experts outside the Platform, thereby avoiding Platform fees.
  • Providing false, misleading, or inaccurate information in your profile, booking details, or communications.
  • Impersonating another person or misrepresenting your qualifications, affiliations, or identity.
  • Harassing, threatening, or abusing other users of the Platform, including experts and clients.
  • Attempting to interfere with the Platform’s operation, security, or infrastructure, including introducing malware, viruses, or other harmful code.
  • Scraping, crawling, or using automated tools to extract data from the Platform without our written consent.
  • Using the Platform to collect personal information of other users for unauthorized purposes, including unsolicited marketing or spam.
  • Violating any applicable laws or regulations in connection with your use of the Platform.

10. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis, without any warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Any warranty that the Platform will be uninterrupted, timely, secure, or error-free.
  • Any warranty regarding the accuracy, reliability, or completeness of expert profiles, qualifications, or consultation content.
  • Any warranty regarding the quality, outcomes, or results of any consultation arranged through the Platform.

We do not endorse or guarantee any specific expert, and we are not responsible for verifying the credentials, qualifications, or licensing status of experts listed on the Platform.

11. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Room Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform, including but not limited to loss of profits, loss of data, loss of business opportunities, or damages resulting from reliance on information obtained through the Platform.
  • Room Consulting shall not be liable for the actions, omissions, advice, or conduct of any expert or client on the Platform, whether online or offline.
  • Room Consulting shall not be liable for any decisions you make based on advice or information received during a consultation.
  • Our total aggregate liability to you for any claims arising out of or relating to these Terms or your use of the Platform shall not exceed the total amount you paid to us through the Platform in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Room Consulting, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: your use of the Platform; your violation of these Terms; your violation of any applicable law or regulation; any content you submit to the Platform; or your consultation activities (whether as a client or expert).

13. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes in detail how we collect, use, store, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described in our Privacy Policy.

14. Third-Party Services

The Platform integrates with and may contain links to third-party services, including:

  • Stripe: for payment processing. Your use of Stripe is subject to Stripe’s Terms of Service.
  • Google Calendar: for calendar integration. Your use of Google services is subject to Google’s Terms of Service.
  • LinkedIn: expert profiles may link to LinkedIn profiles. LinkedIn is governed by its own terms and privacy policy.

We are not responsible for the content, privacy practices, or terms of any third-party services. Your interactions with these services are governed by their respective terms and policies.

15. Modifications to the Platform and Terms

15.1 Platform Changes

We reserve the right to modify, update, suspend, or discontinue any part of the Platform at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

15.2 Terms Changes

We may revise these Terms from time to time. When we make material changes, we will update the “Effective date” at the top of this page and, where appropriate, notify you via email or through a notice on the Platform. Your continued use of the Platform after the revised Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Platform.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.

16.2 Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue the matter through the appropriate legal channels.

17. General Provisions

  • Entire agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and Room Consulting regarding your use of the Platform.
  • Severability: if any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: you may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
